Terms of Use

Effective Date: October 5, 2026

These Terms of Use ("Terms") are entered into between you ("You" or "User") and Ear Candy Music LLC, doing business as muddmoney ("Company," "muddmoney," "we," "us" or "our") and govern your access to and use of mudd.money, scorecard.mudd.money, Your Money Compass, Foundations, and the other websites, products, tools, dashboards, educational materials and services that link to these Terms (collectively, the "Services").

By accessing or using the Services, you agree to these Terms. If you do not agree to these Terms, do not use the Services.

1. Educational Services; No Financial Advice

The Services provide financial education, organizational tools, assessments, calculators and general information intended to help users understand and organize their own financial circumstances.

muddmoney is not a registered investment adviser, broker-dealer, bank, accounting firm, law firm, tax adviser, credit counselor or other licensed financial professional, and the Services do not create an adviser-client, fiduciary, attorney-client, accountant-client or similar professional relationship.

Nothing contained in the Services constitutes investment, securities, legal, accounting, tax, insurance, credit or other regulated professional advice.

Any grade, score, calculation, suggested priority, "move," roadmap, illustration or other output made available through the Services is an educational output based upon information supplied by You and general methodologies or rules of thumb developed by Company. It is not a substitute for advice from a qualified professional familiar with your individual circumstances.

You remain solely responsible for financial decisions made by You.

2. Inputs, Estimates and Outputs

The Services depend upon information supplied by You. Financial amounts entered into the Services may be estimates. Company does not independently verify your income, expenses, assets, debts, insurance coverage, tax circumstances, account values or other information.

Accordingly, all calculations and outputs are necessarily dependent upon the completeness and accuracy of the information supplied.

Company does not warrant that any grade, score, calculation, projection, recommendation, estimated net worth, financial runway, savings rate or other output is complete, accurate or appropriate for any particular financial decision.

No particular financial result is promised or guaranteed.

3. Accounts, Dashboards and Private Links

Certain Services may provide access through a private dashboard code, account credential, personalized URL or private results link.

You are responsible for maintaining the confidentiality of any such access method. A person who receives or obtains a valid private link may be able to view information available through that link. You shall not knowingly provide your private link, dashboard code or account access to a person whom You do not authorize to view such information.

You shall promptly notify Company if You reasonably believe your account or private access information has been compromised.

4. Eligibility

You must be at least eighteen (18) years old to use the Services. By using the Services, You represent that You have legal capacity to enter into these Terms.

5. Purchases

Certain Services require payment. Prices, payment schedules and product contents are those presented to You at the time of purchase. Payments may be processed through Kajabi or a third-party payment processor.

You authorize the applicable payment processor to charge the payment method submitted by You for amounts properly due in connection with your purchase. Company does not receive or store your complete payment card number.

6. Refunds and Guarantees

Refunds and guarantees, if any, are governed by the specific written guarantee presented on the applicable product's sales or checkout page at the time of purchase.

Your Money Compass (the "Use-It-And-See guarantee"), as stated on its sales page: "Watch the 3 lessons and fill in your workbook within 30 days. If you don't walk away knowing your Why, seeing your full financial picture, and having a clear plan for what to do next, we'll refund every penny. Just email support@mudd.money."

Foundations ("The Find Your $200 Guarantee"), as stated on its sales page: "Run the system for 90 days — close your months, touch your numbers — and if you can't find at least $200 a month to redirect, we refund you." And, from the same page: "Do the 30-Day Challenge. If, within 90 days, we can't help you find at least $200/month you could redirect in your budget, we refund your tuition — the full amount if you paid in full, or what you've paid (and we cancel the rest) on the 4-pay. 'Doing the work' means completing all 6 modules, running Our Actuals Importer — or entering the numbers by hand — on 2 months of real spending, filling in your Workbook prompts, running Map Your Month once, and sending a short Before/After form. No fine print. We back the work."

Except as expressly stated in the applicable written guarantee or as required by law, purchases are final.

No marketing statement, customer-service communication or other informal statement modifies an applicable refund or guarantee provision unless Company expressly agrees to that modification in writing.

7. Company Materials

As between You and Company, Company owns or licenses all rights in the Services and the content and materials made available through them, including the Big Picture Scorecard, Your Money Compass, Foundations, Roadmap, scoring and grading systems, methodologies, text, graphics, layouts, software, worksheets, videos, educational materials, names, logos and other Company content ("Company Materials"), except for User Content as defined below.

Company grants You a limited, personal, non-exclusive, non-transferable and revocable right to access and use Company Materials solely for your own personal, non-commercial use in accordance with these Terms.

Except with Company's prior written authorization, You shall not:

(a) reproduce, publish, distribute, sell, sublicense or commercially exploit Company Materials;

(b) make Company Materials available to another person as a substitute for that person's purchase or authorized access;

(c) scrape, crawl, harvest or systematically extract content or data from the Services;

(d) use automated means to access the Services except as expressly authorized by Company;

(e) frame, mirror or republish a material portion of the Services;

(f) reverse engineer, decompile or attempt to discover source code or proprietary logic except to the limited extent such restriction is prohibited by applicable law;

(g) remove proprietary notices; or

(h) use Company Materials to create or train a competing product, service, scoring methodology or commercial educational system.

No right is granted except as expressly set forth herein.

8. Your Content

"User Content" means information and materials entered, submitted or uploaded by You through the Services, excluding Company Materials and outputs generated solely by Company.

As between You and Company, You retain your rights in User Content.

You grant Company and its service providers a non-exclusive right to host, reproduce, transmit, process, analyze, categorize, modify as technically necessary, and otherwise use User Content solely as reasonably necessary to provide, secure, maintain and improve the Services and to perform the activities described in Company's Privacy Policy.

You represent that You have the right to submit User Content and that Company's processing of it in accordance with these Terms will not violate the rights of another person.

You shall not submit another person's private financial information without that person's authorization.

Company will not use a testimonial identifying You in advertising merely because You used the Services. Any right to use an identifiable testimonial, endorsement, image or likeness for promotional purposes will be obtained separately where required.

9. Uploaded Financial Records and Automated Categorization

Certain Services may permit You to upload bank or payment-card statements, CSV files or other transaction information for categorization or analysis.

Where an automated categorization feature uses an artificial-intelligence provider, transaction descriptions and associated amounts may be transmitted to that provider for processing as described in Company's Privacy Policy.

You are responsible for reviewing automatically categorized results. Automated categorization may be incomplete, inaccurate or inconsistent and should not be treated as an accounting record without review.

You should remove account numbers, credentials or other information not requested by the Service before uploading a file whenever reasonably possible.

10. Acceptable Use

You shall not:

(a) impersonate another person or materially misrepresent your identity;

(b) submit information concerning another person without authorization;

(c) attempt to obtain unauthorized access to an account, dashboard, system or private result;

(d) interfere with or disrupt the security or operation of the Services;

(e) introduce malicious code;

(f) use the Services for an unlawful or fraudulent purpose;

(g) use automated systems in violation of Section 7; or

(h) assist another person in doing any of the foregoing.

Company may suspend or terminate access reasonably necessary to prevent misuse, protect users or systems, comply with law or enforce these Terms.

11. Third-Party Services

The Services may rely upon, integrate with or link to third-party platforms and providers. Company does not control the availability, operation or independent terms of third-party services. Your use of a third-party service may be subject to additional terms imposed by that provider.

12. No Reliance on Availability

Company may modify, replace, suspend or discontinue all or part of the Services from time to time. Company does not warrant that every feature will remain available indefinitely or that the Services will operate without interruption.

Nothing in this Section limits any obligation Company has with respect to a paid product that Company has expressly undertaken to provide.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND COMPANY MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE."

COMPANY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT ANY CALCULATION, SCORE, GRADE, CLASSIFICATION, PROJECTION, EDUCATIONAL OUTPUT OR OTHER INFORMATION WILL BE ACCURATE, COMPLETE OR SUITABLE FOR A PARTICULAR PURPOSE.

COMPANY MAKES NO GUARANTEE CONCERNING ANY FINANCIAL, INVESTMENT, CREDIT, SAVINGS, DEBT-REDUCTION, TAX, RETIREMENT OR OTHER RESULT ARISING FROM USE OF THE SERVICES.

THE FOREGOING DOES NOT EXCLUDE ANY WARRANTY THAT CANNOT LAWFULLY BE DISCLAIMED.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPANY AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST OPPORTUNITY OR LOSS OF DATA, ARISING FROM OR RELATING TO THE SERVICES, WHETHER BASED IN CONTRACT, TORT OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPANY'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO A PAID SERVICE SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO COMPANY FOR THE PARTICULAR SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

WITH RESPECT TO A FREE SERVICE, COMPANY'S AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

Nothing herein shall limit liability to the extent such limitation is prohibited by applicable law.

15. Indemnification

You shall indemnify and hold Company and its members, managers, employees, contractors and agents harmless from third-party claims, damages, losses, costs and reasonable outside attorneys' fees arising from:

(a) User Content submitted by You in violation of another person's rights;

(b) your unlawful use of the Services;

(c) your material breach of Sections 7, 8 or 10; or

(d) your knowing or intentional misuse of another person's private information.

Company shall provide reasonably prompt notice of an indemnifiable third-party claim and shall reasonably cooperate in the defense thereof at your expense.

16. Privacy

Company's collection and processing of personal information in connection with the Services is described in the muddmoney Privacy Policy, which is incorporated into these Terms by reference for purposes of describing those practices.

These Terms do not require You to waive any privacy right that applicable law makes non-waivable.

17. Termination

You may cease using the Services at any time.

Company may terminate or suspend your access where You materially breach these Terms, misuse the Services, create a material security risk, fail to pay amounts properly due, or where suspension or termination is reasonably necessary to comply with applicable law.

Termination shall not affect provisions that by their nature are intended to survive, including provisions concerning intellectual property, amounts previously due, disclaimers, limitations of liability, indemnification and dispute resolution.

18. Changes to the Services or Terms

Company may modify these Terms from time to time.

If a modification materially changes your rights with respect to a paid Service already purchased, Company will provide any additional notice required by applicable law.

The version posted when You use the Services will govern prospective use from its stated effective date, except that no update will retroactively deprive You of a material contractual right that cannot lawfully be modified in that manner.

19. Governing Law and Venue

These Terms shall be governed by the laws of the State of California without regard to conflict-of-law principles.

Subject to any applicable law requiring otherwise, exclusive venue for a dispute arising from or relating to these Terms or the Services shall lie in a court of competent jurisdiction in Los Angeles County, California.

20. Cure of Defaults

As a condition precedent to the assertion that the other party is in material default of an obligation under these Terms, the asserting party shall, where the circumstances reasonably permit cure, provide written notice describing the alleged default and allow the other party thirty (30) days following receipt of such notice to cure the alleged default.

Nothing herein prohibits either party from seeking appropriate relief where delay would result in irreparable harm or where applicable law provides otherwise.

21. Miscellaneous

These Terms, together with the Privacy Policy and any product-specific written purchase terms presented to You, constitute the agreement between You and Company concerning the subject matter hereof and supersede prior discussions and representations concerning that subject matter.

If a product-specific written term expressly conflicts with these Terms, the product-specific term shall control solely with respect to that product and conflict.

No waiver of a provision on one occasion shall constitute a waiver of that provision on another occasion. If any provision is held unenforceable, the remaining provisions shall remain in effect to the maximum extent permitted by law.

Company may assign these Terms in connection with a merger, reorganization, financing, sale of assets or transfer of the applicable business. You may not transfer your account or rights under these Terms without Company's written consent.
